These Terms of Service (“Terms”) govern access to and use of the Galla.app website, application, software platform, products, modules, APIs, services, integrations, support, and related offerings provided by Treewalker Digital Private Limited (“Company”, “Treewalker Digital”, “Galla”, “we”, “us”, or “our”). 

By accessing, registering for, subscribing to, or using Galla.app or any related services, you (“Customer”, “User”, “you”, or “your”) agree to be bound by these Terms. If you are using Galla on behalf of a company, firm, organisation, partnership, proprietorship, or other legal entity, you represent that you have authority to bind that entity to these Terms. 

If you do not agree to these Terms, you must not access or use Galla.app. 

1. ABOUT GALLA.APP

Galla.app is a SaaS platform designed for retail, warehouse, billing, inventory, ecommerce, and business operations. Galla may provide, depending on the subscribed plan or commercial agreement, the following products and services: 

  1. Retail management software. 
  2. POS billing and invoicing software. 
  3. Warehouse management system. 
  4. Inventory management. 
  5. Product, stock, purchase, sales, customer, vendor, and order management. 
  6. WhatsApp marketing and customer communication tools. 
  7. Ecommerce website or store development and management services. 
  8. Third-party integrations with ERP, accounting, ecommerce, logistics, payment, marketplace, WhatsApp, SMS, email, analytics, and other platforms. 
  9. APIs, dashboards, reports, automations, and business workflow tools. 
  10. Implementation, configuration, training, support, custom development, and managed services. 

The exact services available to you depend on your subscription plan, order form, quotation, proposal, statement of work, invoice, or separate written agreement with Treewalker Digital Private Limited. 

2. DEFINATIONS

For the purpose of these Terms: 

“Account” means the registered account created by or for the Customer to access Galla. 

“Admin User” means a user authorised by the Customer to manage the Customer’s Galla account, users, settings, data, permissions, billing, and integrations. 

“Customer Data” means all data, information, content, files, records, product details, inventory data, billing data, customer records, vendor records, warehouse records, order data, communication data, ecommerce data, and other materials submitted, uploaded, imported, processed, generated, or stored by or on behalf of the Customer through Galla. 

“End Customer” means the Customer’s own customer, buyer, shopper, recipient, user, vendor, supplier, business partner, employee, contractor, or other person whose information may be processed through Galla. 

“Services” means the Galla.app platform, website, SaaS modules, mobile applications, APIs, integrations, support, implementation, training, development, hosting, managed services, and any other products or services provided by Treewalker Digital Private Limited. 

“Subscription Plan” means the plan selected by the Customer, including applicable features, users, locations, storage, API calls, WhatsApp usage, integrations, billing cycle, support level, and limits. 

“Order Form” means a quotation, proposal, purchase order, invoice, subscription confirmation, statement of work, or commercial document accepted by the Customer and Treewalker Digital Private Limited. 

“Third-Party Services” means services, software, platforms, APIs, gateways, tools, or applications not owned or controlled by Treewalker Digital Private Limited, including but not limited to WhatsApp/Meta, payment gateways, ecommerce platforms, accounting software, ERP systems, logistics providers, cloud service providers, SMS/email gateways, analytics tools, and marketplaces. 

3. Acceptance of Terms 

You accept these Terms when you: 

  1. Access or use Galla.app. 
  2. Create an account. 
  3. Sign up for a subscription. 
  4. Accept a quotation, invoice, proposal, order form, or statement of work. 
  5. Use any Galla software, API, module, integration, or support service. 
  6. Click “I Agree”, “Accept”, “Subscribe”, “Continue”, or similar confirmation. 
  7. Continue using the Services after changes to these Terms are published. 

These Terms apply together with our Privacy Policy, Cookie Policy, Data Processing Addendum, Acceptable Use Policy, WhatsApp Marketing Policy, SLA/Support Policy, Refund and Cancellation Policy, and any applicable Order Form or written agreement. 

If there is a conflict between these Terms and a signed written agreement or Order Form, the signed written agreement or Order Form will prevail only for the conflicting commercial or service-specific terms. 

4. Eligibility and Authority 

You may use Galla only if: 

  1. You are legally capable of entering into a binding contract. 
  2. You are at least 18 years old. 
  3. You are not prohibited from using the Services under applicable law. 
  4. If using the Services for a business, you are authorised to act on behalf of that business. 

You are responsible for ensuring that all users added to your account comply with these Terms.

5. Account Registration and Responsibility 

To use Galla, you may be required to create an account and provide accurate business, contact, billing, tax, and operational information. 

You agree to: 

  1. Provide true, complete, and updated account information. 
  2. Keep login credentials confidential. 
  3. Use strong passwords and, where available, multi-factor authentication. 
  4. Ensure that only authorised users access your account. 
  5. Promptly remove access for employees, contractors, or users who leave your organisation or no longer need access. 
  6. Notify us immediately if you suspect unauthorised access, misuse, or security breach. 

You are responsible for all activity under your account, whether authorised by you or not, except where caused solely by our proven breach of security obligations. 

Treewalker Digital Private Limited is not responsible for loss caused by weak passwords, credential sharing, compromised devices, unauthorised internal users, or failure to manage user access. 

6. Subscription Plans, Order Forms, and Commercial Terms 

Galla may be offered through monthly, quarterly, annual, multi-year, usage-based, project-based, enterprise, custom, or managed-service plans. 

Your subscription may include limits such as: 

  1. Number of users. 
  2. Number of stores, warehouses, billing counters, branches, companies, or locations. 
  3. Number of products, SKUs, orders, invoices, customers, vendors, or transactions. 
  4. Storage limits. 
  5. API call limits. 
  6. WhatsApp message limits. 
  7. Integration limits. 
  8. Support level. 
  9. Custom development scope. 
  10. Training or onboarding hours. 

Commercial terms will be specified in the relevant Order Form, invoice, quotation, proposal, or subscription page. 

Unless expressly stated otherwise: 

  1. Fees are payable in advance. 
  2. Subscription fees are non-refundable. 
  3. Taxes, GST, duties, payment gateway charges, transaction charges, WhatsApp charges, SMS/email charges, marketplace charges, hosting charges, or other third-party charges may be additional. 
  4. Any usage beyond plan limits may be charged separately. 
  5. Discounts, offers, or credits are valid only for the period and scope specifically mentioned. 
  6. Free trials, pilot plans, or promotional plans may be modified, suspended, or withdrawn at our discretion. 

7. Payment, Taxes, and Invoicing

You agree to pay all fees as per the agreed commercial terms. 

Invoices may include: 

  1. Subscription fees. 
  2. Setup fees. 
  3. Implementation fees. 
  4. Customisation fees. 
  5. Training fees. 
  6. Support fees. 
  7. Integration fees. 
  8. Ecommerce development or managed service fees. 
  9. WhatsApp, SMS, email, API, storage, or usage-based charges. 
  10. Taxes and statutory charges. 

All payments must be made using the payment method approved by Treewalker Digital Private Limited. 

Late payments may result in: 

  1. Suspension of access. 
  2. Suspension of support. 
  3. Late payment charges or interest, if stated in the Order Form. 
  4. Downgrade, restriction, or termination of Services. 
  5. Recovery of outstanding amounts through lawful means. 

You are responsible for providing correct billing, GST, and tax details. Treewalker Digital Private Limited is not responsible for incorrect invoices caused by incorrect details provided by the Customer. 

8. Renewal, Upgrade, Downgrade, and Cancellation

Unless otherwise stated in an Order Form, subscriptions may automatically renew at the end of each billing period. 

You may request plan upgrades, downgrades, or cancellation as per the applicable commercial policy. 

Downgrading a plan may result in loss of features, reduced limits, restricted access, or inability to use certain modules. 

Cancellation does not automatically entitle you to a refund unless expressly stated in the Order Form or Refund and Cancellation Policy. 

If you cancel or do not renew your subscription, access to the Services may be disabled after the subscription end date, and Customer Data may be retained or deleted as per our Data Retention and Deletion Policy. 

9. Refund Policy 

Unless specifically agreed in writing: 

  1. Subscription fees are non-refundable. 
  2. Setup, implementation, onboarding, training, customisation, ecommerce development, integration, or managed service fees are non-refundable once work has started. 
  3. Third-party charges, including WhatsApp, SMS, email, hosting, payment gateway, marketplace, cloud, domain, plugin, theme, license, or API charges, are non-refundable. 
  4. Refunds, if approved, will be processed to the original payment method or adjusted against future invoices, at our discretion. 
  5. Any refund may be subject to deduction of taxes, payment gateway charges, work already completed, third-party charges, and administrative costs.

10. Customer Responsibilities 

You are responsible for: 

  1. Ensuring that your business use of Galla complies with applicable laws. 
  2. Ensuring accuracy of business, product, stock, price, tax, billing, customer, vendor, and warehouse data. 
  3. Managing your users, permissions, roles, passwords, and access controls. 
  4. Taking regular exports or backups where required for your internal business continuity. 
  5. Verifying invoices, tax reports, GST data, order data, inventory reports, and accounting exports before statutory filing or business use. 
  6. Obtaining all required consent from End Customers for WhatsApp, SMS, email, or marketing communication. 
  7. Ensuring that uploaded contact lists are lawfully collected and authorised for use. 
  8. Maintaining your own licenses and accounts for third-party platforms, if required. 
  9. Reviewing and testing integrations before business-critical use. 
  10. Ensuring that your devices, networks, browsers, printers, barcode scanners, POS hardware, internet connection, and local infrastructure are properly maintained. 
  11. Ensuring that your use of Galla does not violate third-party rights, privacy rights, intellectual property rights, or applicable laws. 

Galla is a business software platform. It does not replace your professional, legal, tax, accounting, compliance, or statutory responsibilities. 

11. Retail Management and POS Billing Terms  

Galla may provide POS billing, retail management, inventory management, invoice generation, sales records, customer records, purchase records, product catalogues, pricing, discounting, tax configuration, and reporting tools. 

You acknowledge and agree that:

  1. You are responsible for correct tax configuration, GST rates, invoice format, HSN/SAC codes, product details, pricing, discounts, customer details, and statutory information. 
  2. You must verify all invoices, credit notes, debit notes, tax reports, sales reports, and accounting exports before filing, submission, or business reliance. 
  3. Galla may support GST-ready workflows, but Treewalker Digital Private Limited does not provide tax advice. 
  4. Any integration with GST, e-invoice, e-way bill, accounting, ERP, or government systems may depend on third-party availability, credentials, APIs, and regulatory changes. 
  5. We do not guarantee that use of Galla alone will ensure full compliance with GST, tax, accounting, consumer protection, legal metrology, ecommerce, or industry-specific laws. 
  6. You are responsible for consulting your tax advisor, chartered accountant, legal advisor, or compliance consultant where required.

12. Warehouse Management Terms

Galla may provide warehouse management features such as stock inward, stock outward, putaway, picking, packing, dispatch, transfer, cycle count, barcode/RFID workflows, location management, batch/serial tracking, user activity logs, integration with hardware, and reporting. 

You acknowledge and agree that: 

  1. Inventory accuracy depends on correct data entry, scanning discipline, process adherence, hardware performance, integration reliability, and user training. 
  2. Treewalker Digital Private Limited is not responsible for stock loss, shrinkage, theft, wrong dispatch, wrong picking, mismatch, physical damage, or operational loss unless caused solely by a proven defect in the Services. 
  3. You must verify critical stock, dispatch, and warehouse reports before operational or financial reliance. 
  4. Barcode scanners, RFID readers, printers, weighing scales, handheld terminals, and other hardware may be subject to separate terms, warranties, and support policies. 
  5. Integration with ERP, ecommerce, marketplace, or logistics systems may be affected by third-party API changes, downtime, rate limits, or data mismatch. 
  6. You are responsible for implementing internal controls, physical audits, and exception reviews. 

13. WhatsApp Marketing and Communication Terms 

Galla may provide tools for WhatsApp marketing, business messaging, campaign management, customer communication, templates, automation, and integration with WhatsApp Business services. 

You acknowledge and agree that: 

  1. WhatsApp services are provided by Meta/WhatsApp or its authorised providers and are Third-Party Services. 
  2. You must comply with WhatsApp Business terms, WhatsApp Business Messaging Policy, template rules, opt-in requirements, prohibited content rules, and applicable law. 
  3. You are solely responsible for obtaining valid consent from recipients before sending marketing or promotional messages. 
  4. You must provide opt-out or unsubscribe mechanisms where required. 
  5. You must not upload purchased, scraped, unauthorised, or unlawfully collected contact lists. 
  6. You must not send spam, misleading messages, fraudulent messages, prohibited content, abusive content, or unlawful communication. 
  7. Message templates may be approved, rejected, paused, restricted, or disabled by WhatsApp/Meta or its providers. 
  8. WhatsApp accounts, phone numbers, templates, quality ratings, messaging limits, or business accounts may be restricted or banned by WhatsApp/Meta. 
  9. Treewalker Digital Private Limited is not responsible for template rejection, account restriction, message delivery failure, pricing changes, policy changes, or downtime caused by WhatsApp/Meta or its providers. 
  10. Charges for WhatsApp messaging may vary based on category, geography, provider, usage, or policy changes and may be charged separately. 

You agree to indemnify Treewalker Digital Private Limited against claims, penalties, complaints, losses, or damages arising from your unlawful or unauthorised marketing communication. 

14. Ecommerce Development and Managed Services 

Galla may provide ecommerce website development, store setup, marketplace integration, product upload, theme configuration, payment gateway integration, order workflow setup, hosting coordination, support, and managed ecommerce services. 

Unless agreed separately in a Statement of Work: 

  1. Ecommerce development scope will be limited to the items expressly mentioned in the accepted proposal or Order Form. 
  2. Additional pages, features, design changes, integrations, custom workflows, marketplace changes, plugins, paid themes, hosting, domain, SSL, content writing, photography, digital marketing, SEO, or support may be charged separately. 
  3. Customer is responsible for providing product data, images, descriptions, pricing, policies, brand assets, legal pages, tax details, shipping rules, return policy, and other required content. 
  4. Customer is responsible for legality, accuracy, and compliance of products, pricing, claims, offers, warranties, content, and sales practices. 
  5. Payment gateways, shipping aggregators, marketplaces, plugins, themes, and hosting providers are Third-Party Services. 
  6. Approval, activation, suspension, or rejection by payment gateway, marketplace, logistics, or hosting providers is outside our control. 
  7. Treewalker Digital Private Limited is not responsible for lost sales, abandoned carts, payment failures, chargebacks, customer disputes, marketplace penalties, search ranking, SEO performance, or advertising performance unless expressly agreed in writing. 
  8. Delivery timelines depend on timely Customer approvals, content, access credentials, third-party availability, and payment. 

15. Third-Party Integrations 

Galla may integrate with Third-Party Services such as ERP systems, Tally or accounting tools, ecommerce platforms, marketplaces, payment gateways, logistics systems, WhatsApp, SMS/email gateways, analytics tools, APIs, cloud services, and other business applications. 

You acknowledge and agree that: 

  1. Third-Party Services are governed by their own terms, policies, pricing, uptime, data practices, and support. 
  2. You are responsible for maintaining valid accounts, licenses, subscriptions, credentials, API permissions, and approvals for Third-Party Services. 
  3. Integration performance depends on third-party APIs, rate limits, uptime, data formats, permission settings, and policy changes. 
  4. We may modify, suspend, or discontinue an integration if the third-party service changes, restricts access, becomes insecure, becomes commercially unreasonable, or is discontinued. 
  5. We are not responsible for third-party downtime, errors, API changes, data mismatch, rejected transactions, incorrect mapping, delayed sync, or third-party security incidents. 
  6. You must review and validate integrated data before relying on it for billing, accounting, dispatch, stock, compliance, or statutory filing.

16. APIs and Developer Access

If Galla provides API access, API keys, webhooks, developer tools, or integration credentials, you agree to: 

  1. Use APIs only for authorised business purposes. 
  2. Keep API keys and tokens confidential. 
  3. Not share credentials publicly or with unauthorised parties. 
  4. Not exceed rate limits or usage limits. 
  5. Not attempt to bypass access controls, billing limits, or security restrictions. 
  6. Not use APIs for scraping, spamming, unlawful automation, or abusive activity. 
  7. Immediately notify us if credentials are exposed or compromised. 

We may suspend or rotate API keys if we detect misuse, excessive usage, security risk, or breach of these Terms. 

17. Customer Data Ownership 

As between you and Treewalker Digital Private Limited, you retain ownership of Customer Data. 

You grant Treewalker Digital Private Limited a limited, non-exclusive, worldwide license to host, process, transmit, display, copy, secure, back up, analyse, and use Customer Data only as necessary to: 

  1. Provide the Services. 
  2. Maintain and improve the Services. 
  3. Provide support. 
  4. Enable integrations. 
  5. Prevent fraud, abuse, or security incidents. 
  6. Comply with legal obligations. 
  7. Generate aggregated or anonymised analytics that do not identify you or your End Customers. 

We do not sell Customer Data.

18. Personal Data and Privacy  

Use of personal data through Galla is governed by our Privacy Policy and, where applicable, our Data Processing Addendum. 

Depending on the context, the Customer may act as the data fiduciary, controller, or business owner of End Customer data, and Treewalker Digital Private Limited may act as a processor or service provider processing such data on the Customer’s behalf. 

You are responsible for: 

  1. Providing privacy notices to your End Customers. 
  2. Obtaining consent where required. 
  3. Ensuring lawful basis for processing personal data. 
  4. Responding to End Customer data access, correction, deletion, grievance, or withdrawal requests. 
  5. Ensuring that personal data uploaded to Galla is accurate, lawful, and authorised. 
  6. Not uploading sensitive, unlawful, excessive, or unnecessary personal data unless required for lawful business purposes. 

Treewalker Digital Private Limited will implement reasonable technical and organisational measures to protect personal data processed through the Services. 

19. Data Security   

We will use commercially reasonable security measures designed to protect Customer Data against unauthorised access, loss, misuse, alteration, or disclosure. 

Security measures may include, as applicable: 

  1. Encryption in transit. 
  2. Access controls. 
  3. Role-based permissions. 
  4. Password protection. 
  5. Audit logs. 
  6. Backups. 
  7. Monitoring. 
  8. Vulnerability management. 
  9. Secure development practices. 
  10. Administrative access controls. 

However, no software, cloud system, network, or internet-based service can be guaranteed to be completely secure. You acknowledge that you use the Services with this understanding. 

You are responsible for securing your own devices, networks, passwords, users, local systems, printers, barcode devices, browsers, and internet connectivity. 

20. Data Backup, Export, Retention, and Deletion    

Galla may provide data export features depending on the plan and module. 

You are responsible for exporting and retaining records required for your business, accounting, tax, legal, and compliance purposes. 

After termination, cancellation, expiry, or prolonged non-payment: 

  1. Access to the account may be restricted or disabled. 
  2. Customer Data may be retained for a limited period as per our Data Retention and Deletion Policy. 
  3. Customer Data may be deleted after the retention period. 
  4. Backup copies may remain for a limited period before deletion in accordance with backup cycles. 
  5. We may retain data where required for legal, tax, audit, dispute, fraud prevention, or regulatory reasons. 

We are not responsible for loss of Customer Data after account termination or expiry if you fail to export data within the available period. 

21. Support, Maintenance, and Service Levels  

Support will be provided as per your Subscription Plan, SLA, Order Form, or Support Policy. 

Support may be provided through email, phone, chat, ticketing system, remote session, or other channels. 

Support may cover: 

  1. Product usage queries. 
  2. Bug reports. 
  3. Configuration assistance. 
  4. Integration support. 
  5. User access queries. 
  6. Troubleshooting. 

Support may not include, unless separately agreed: 

  1. Custom development. 
  2. Data correction caused by Customer error. 
  3. Hardware repair. 
  4. Third-party system troubleshooting. 
  5. Onsite support. 
  6. Training beyond agreed scope. 
  7. Business process consulting. 
  8. Tax, accounting, legal, or compliance advice. 

We may perform planned or emergency maintenance. During maintenance, some features may be unavailable or degraded. 

We will use commercially reasonable efforts to provide reliable service, but we do not guarantee uninterrupted, error-free, or delay-free operation. 

22. Implementation, Training, and Customisation   

Implementation, training, migration, configuration, or customisation services may be provided as per an agreed Order Form or Statement of Work. 

You agree to: 

  1. Provide timely access to required data, systems, users, and decision makers. 
  2. Provide correct data formats and required information. 
  3. Participate in testing and approval. 
  4. Review configurations before go-live. 
  5. Provide feedback within agreed timelines. 
  6. Accept delivery once the agreed scope is substantially completed. 

Delays caused by Customer-side dependencies may result in revised timelines, additional charges, or project closure. 

Customisation requests outside the agreed scope will be treated as change requests and may require additional fees.

23. Hardware, Devices, and Local Infrastructure   

Galla may be used with POS devices, printers, barcode scanners, RFID devices, handheld terminals, weighing scales, tablets, computers, network devices, or other hardware. 

Unless separately supplied and warranted by Treewalker Digital Private Limited:

 

  1. Hardware is the Customer’s responsibility. 
  2. Local network, internet, power, device maintenance, operating system, browser, and peripheral compatibility are the Customer’s responsibility. 
  3. Hardware warranties are governed by the original manufacturer or supplier. 
  4. We are not responsible for errors caused by faulty hardware, poor internet, device misconfiguration, power issues, outdated software, malware, or unsupported devices. 

24. Acceptable Use    

You must not use the Services to: 

  1. Violate any law, regulation, or third-party right. 
  2. Send spam, unlawful marketing, fraudulent messages, or unauthorised communication. 
  3. Upload illegal, harmful, misleading, infringing, defamatory, obscene, hateful, abusive, or prohibited content. 
  4. Process unlawfully collected personal data. 
  5. Sell or promote illegal goods or services. 
  6. Misrepresent identity, affiliation, products, pricing, or offers. 
  7. Attempt unauthorised access to systems, accounts, APIs, or data. 
  8. Interfere with platform security or performance. 
  9. Reverse engineer, copy, modify, or create derivative works of Galla software. 
  10. Use automated scripts, bots, scraping tools, or abusive API calls without permission. 
  11. Introduce malware, viruses, worms, or harmful code. 
  12. Bypass plan limits, usage restrictions, or billing controls. 
  13. Use the Services for competitor benchmarking, copying features, or building a competing product. 
  14. Use Galla in a manner that may damage the reputation, security, or operations of Treewalker Digital Private Limited. 

We may suspend or terminate access if we believe the Services are being misused. 

25. Intellectual Property Rights    

Treewalker Digital Private Limited owns all rights, title, and interest in and to Galla.app, including software, source code, design, workflows, interfaces, dashboards, documentation, algorithms, APIs, trademarks, logos, domain names, content, templates, reports, methods, know-how, and related intellectual property. 

These Terms do not transfer any ownership rights to you. 

You receive only a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the active subscription period, subject to these Terms and applicable commercial terms. 

You must not: 

  1. Copy, reproduce, modify, or distribute the Services. 
  2. Reverse engineer or decompile the software. 
  3. Remove copyright, trademark, or proprietary notices. 
  4. Use Galla branding without written permission. 
  5. Build a competing product using Galla’s design, workflows, features, or confidential information. 

26. Customer Content and Brand Assets     

You may provide logos, images, product data, descriptions, documents, policies, templates, marketing content, ecommerce content, or other materials. 

You represent that you have all rights and permissions required to provide such content. 

You grant Treewalker Digital Private Limited a limited license to use Customer-provided content only for delivering the Services. 

You are solely responsible for accuracy, legality, and compliance of Customer-provided content. 

27. Feedback and Suggestions    

If you provide feedback, ideas, suggestions, feature requests, or improvement recommendations, you grant Treewalker Digital Private Limited the right to use them without restriction, payment, or obligation to you. 

We are not required to implement any feedback or feature request. 

28. Beta Features and Experimental Services   

We may offer beta, trial, pilot, experimental, preview, or early-access features. 

Such features are provided “as is” and may be incomplete, unstable, modified, discontinued, or made chargeable at any time. 

We are not responsible for loss or damage arising from use of beta or experimental features. 

You should not rely on beta features for critical business operations unless expressly approved in writing.

29. Confidentiality   

Each party may receive confidential information from the other party. 

Confidential information includes business data, pricing, product roadmap, software, credentials, technical information, customer lists, integration details, security information, financial information, and non-public commercial information. 

Each party agrees to: 

  1. Protect confidential information with reasonable care. 
  2. Use confidential information only for the purpose of performing these Terms. 
  3. Not disclose confidential information to unauthorised persons. 
  4. Limit access to employees, contractors, advisors, or service providers who need to know and are bound by confidentiality obligations. 

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or required to be disclosed by law. 

30. Publicity and Use of Customer Name    

Unless you notify us in writing, you grant Treewalker Digital Private Limited permission to use your business name and logo in customer lists, presentations, website, case studies, proposals, and marketing materials for the limited purpose of identifying you as a customer. 

Any detailed case study, testimonial, or public success story will require separate approval. 

31. Suspension of Services     

We may suspend access to the Services immediately if: 

  1. Payment is overdue. 
  2. You breach these Terms. 
  3. Your usage creates security, legal, technical, or operational risk. 
  4. Your account is used for spam, fraud, unlawful activity, or prohibited content. 
  5. Required third-party services are suspended or unavailable. 
  6. We are required to do so by law, regulator, court, or government authority. 
  7. Your usage exceeds plan limits and is not regularised. 
  8. We detect unauthorised access or compromised credentials. 

We will try to provide notice where reasonable, but urgent suspension may happen without prior notice. 

Suspension does not waive your obligation to pay outstanding fees.

32. Termination    

Either party may terminate the Services as per the applicable Order Form, subscription terms, or written agreement. 

We may terminate your account or subscription if: 

  1. You materially breach these Terms. 
  2. You fail to pay fees. 
  3. You misuse the Services. 
  4. You violate applicable law. 
  5. Your account remains inactive for a prolonged period. 
  6. Your use creates risk to our platform, customers, partners, or reputation. 
  7. Required third-party services are no longer available. 
  8. Continued service becomes commercially, legally, or technically impractical. 

Upon termination: 

  1. Your access to the Services may stop. 
  2. All unpaid fees become immediately due. 
  3. You must stop using the Services. 
  4. We may delete Customer Data as per our Data Retention and Deletion Policy. 
  5. Clauses relating to payment, intellectual property, confidentiality, limitation of liability, indemnity, dispute resolution, and governing law will survive.

33. Disclaimers      

The Services are provided on an “as is” and “as available” basis, except as expressly stated in a written agreement. 

To the maximum extent permitted by law, Treewalker Digital Private Limited disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, or complete security. 

We do not warrant that: 

  1. The Services will meet all your business requirements. 
  2. The Services will be uninterrupted, error-free, or always available. 
  3. All defects will be corrected immediately. 
  4. Reports, analytics, forecasts, stock data, tax data, or billing data will be error-free if inputs, configurations, or integrations are incorrect. 
  5. Third-party integrations will always work without interruption. 
  6. WhatsApp, SMS, email, marketplace, payment gateway, ecommerce, logistics, ERP, or government integrations will always remain available. 
  7. Use of the Services will guarantee legal, tax, GST, privacy, marketing, ecommerce, or industry compliance. 

You are responsible for independent verification of business-critical, financial, tax, legal, operational, and compliance data. 

34. Limitation of Liability      

To the maximum extent permitted by law, Treewalker Digital Private Limited, its directors, employees, officers, affiliates, contractors, suppliers, and partners will not be liable for: 

  1. Indirect, incidental, special, consequential, punitive, or exemplary damages. 
  2. Loss of profits, revenue, business, goodwill, opportunity, or anticipated savings. 
  3. Loss, corruption, or unauthorised access to data, except where caused solely by our proven gross negligence or wilful misconduct. 
  4. Business interruption. 
  5. Stock mismatch, wrong billing, wrong dispatch, tax filing errors, accounting mismatch, or operational loss caused by incorrect inputs, user error, third-party systems, hardware, or integration issues. 
  6. WhatsApp account restriction, template rejection, message non-delivery, or third-party policy changes. 
  7. Payment gateway failure, chargeback, marketplace penalty, ecommerce downtime, logistics delay, or third-party service failure. 
  8. Security incidents caused by Customer-side credentials, devices, networks, users, or third-party systems. 

In all cases, our total aggregate liability arising out of or relating to the Services will not exceed the fees actually paid by you to Treewalker Digital Private Limited for the affected Services during the three months immediately preceding the event giving rise to the claim. 

If no fees were paid, our total liability will not exceed INR 10,000. 

The above limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory. 

35. Indemnity      

You agree to defend, indemnify, and hold harmless Treewalker Digital Private Limited, its directors, officers, employees, contractors, affiliates, suppliers, and partners from and against any claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from: 

  1. Your breach of these Terms. 
  2. Your misuse of the Services. 
  3. Your violation of law. 
  4. Your Customer Data or Customer-provided content. 
  5. Your unauthorised or unlawful marketing communication. 
  6. Your violation of WhatsApp, SMS, email, marketplace, payment gateway, or third-party terms. 
  7. Your products, services, pricing, offers, warranties, or ecommerce content. 
  8. Your tax, GST, billing, accounting, consumer, privacy, or regulatory non-compliance. 
  9. Claims by your End Customers, vendors, employees, users, or business partners. 
  10. Your infringement of intellectual property, privacy, publicity, or other rights of any person. 

36. Third-Party Services Disclaimer       

The Services may contain links, integrations, APIs, or connections to Third-Party Services. 

Treewalker Digital Private Limited does not control Third-Party Services and is not responsible for their: 

  1. Availability. 
  2. Security. 
  3. Data practices. 
  4. Pricing. 
  5. Policy changes. 
  6. API changes. 
  7. Errors. 
  8. Suspension. 
  9. Compliance. 
  10. Performance. 

Your use of Third-Party Services is governed by the terms and policies of those third parties. 

37. Compliance with Laws       

You agree to comply with all laws applicable to your use of the Services, including laws relating to: 

  1. Data protection and privacy. 
  2. Information technology. 
  3. Ecommerce. 
  4. Consumer protection. 
  5. GST, tax, and accounting. 
  6. Marketing communication. 
  7. Anti-spam rules.

Treewalker Digital Private Limited is not responsible for determining which laws apply to your business. You should consult your own legal, tax, and compliance advisors.

38. Force Majeure        

Treewalker Digital Private Limited will not be liable for delay or failure to perform due to events beyond reasonable control, including: 

  1. Natural disasters. 
  2. Fire, flood, earthquake, epidemic, pandemic, or public health emergency. 
  3. War, terrorism, civil unrest, strikes, or labour disruption. 
  4. Government action, regulation, restriction, or shutdown. 
  5. Internet, telecom, cloud, power, or hosting failure. 
  6. Cyberattacks, denial-of-service attacks, or security incidents beyond reasonable control. 
  7. Third-party service failure. 
  8. Payment gateway, WhatsApp, SMS, email, marketplace, logistics, ERP, or API downtime. 
  9. Any other event beyond reasonable control. 

39. Changes to Services         

We may modify, improve, update, discontinue, rename, replace, or remove features from the Services. 

We may also change user interface, workflows, APIs, plans, pricing, limits, support processes, and integrations. 

Where changes materially affect paid Services, we will try to provide reasonable notice, unless immediate change is required for security, legal, operational, or third-party reasons. 

40. Changes to Terms          

We may update these Terms from time to time. 

Updated Terms will be posted on our website with a revised “Last Updated” date. 

If changes are material, we may provide notice by email, dashboard notification, website notice, or other reasonable means. 

Continued use of the Services after changes become effective means you accept the updated Terms. 

If you do not agree to updated Terms, you must stop using the Services and may cancel your subscription as per the applicable cancellation policy. 

41. Assignment           

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. 

We may assign or transfer these Terms to an affiliate, successor, acquirer, or in connection with merger, restructuring, sale of business, or transfer of assets.

42. Relationship Between Parties            

The parties are independent contractors. 

Nothing in these Terms creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Treewalker Digital Private Limited.

We may send notices through email, dashboard notification, website notice, invoice, message, or other reasonable means.

45. Governing Law             

These Terms are governed by and interpreted in accordance with the laws of India. 

46. Dispute Resolution and Jurisdiction              

The parties will first attempt to resolve disputes through good-faith discussions. 

If a dispute cannot be resolved amicably within 30 days, the dispute may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. 

The seat and venue of arbitration will be Bengaluru, Karnataka, India. 

The arbitration will be conducted in English. 

The arbitral award will be final and binding on the parties. 

Subject to the arbitration clause, the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction. 

47. Severability               

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. 

The invalid provision will be replaced by a valid provision that most closely reflects the original commercial intent. 

48. No Waiver         

Failure by Treewalker Digital Private Limited to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.

49. Entire Agreement      

These Terms, together with applicable policies, Order Forms, invoices, proposals, statements of work, and written agreements, constitute the entire agreement between you and Treewalker Digital Private Limited regarding the Services. 

They supersede all prior discussions, proposals, representations, or agreements relating to the same subject matter, unless expressly preserved in writing.

Annexure A: Product-Specific Service Terms     

This Annexure applies in addition to the main Terms

A1. Retail Management 

The Customer is responsible for store setup, product master data, user roles, tax rates, pricing, discounts, customer information, vendor information, and business rules configured in Galla. 

A2. POS Billing 

The Customer must verify all invoice formats, GST details, HSN/SAC codes, tax calculations, credit notes, debit notes, and payment entries before using them for accounting or statutory purposes.

A3. Warehouse Management 

The Customer is responsible for physical stock verification, warehouse process discipline, barcode/RFID scanning discipline, staff training, hardware usage, and reconciliation between system stock and physical stock. 

A4. WhatsApp Marketing 

The Customer must use WhatsApp marketing features only for lawful, consent-based, policy-compliant communication. The Customer is responsible for recipient consent, message content, opt-out handling, and compliance with WhatsApp and applicable marketing rules. 

A5. Ecommerce Development 

The Customer is responsible for product legality, ecommerce policies, pricing, product claims, images, descriptions, payment gateway approval, shipping rules, return/refund terms, and consumer-facing legal pages. 

A6. Third-Party Integrations

The Customer must maintain valid third-party accounts, credentials, subscriptions, and permissions. Treewalker Digital Private Limited is not responsible for third-party downtime, API changes, pricing changes, policy restrictions, or data mismatch caused by external systems. 

Annexure B: Standard Exclusions     

Unless expressly included in an Order Form, the following are excluded: 

  1. Legal, tax, GST, accounting, or compliance advisory. 
  2. Hardware purchase, repair, replacement, or warranty. 
  3. Onsite support. 
  4. Custom development. 
  5. Data cleaning or correction. 
  6. Manual data entry. 
  7. Ecommerce content writing or product photography. 
  8. Digital marketing or ad campaign management. 
  9. Payment gateway approval. 
  10. Marketplace approval. 
  11. Third-party subscription fees. 
  12. Domain, hosting, plugin, theme, or license costs. 
  13. Migration from unsupported or corrupted data sources. 
  14. Support outside agreed support hours. 
  15. Business losses caused by incorrect configuration, user error, or third-party failure.
